Spotfund is a platform that allows users to contribute to and fundraise on behalf of beneficiaries. All Spotfund campaigns raise funds to benefit a U.S. 501(c)(3) nonprofit or an approved peer to peer cause. Spotfund stories that are designated by a "Flash Fund" icon include a sweepstakes that award winner(s) with experiences or prizes.

For all Spotfund sweepstakes:

• There is no purchase necessary to enter any sweepstakes on Spotfund. A purchase or payment will not increase your chances of winning. See below for all methods of entry.
• Additional rules for a particular sweepstakes or modifications to the rules listed below are listed within the Spotfund story corresponding to the sweepstakes. Please be sure to visit the specific Spotfund story for more information about a particular sweepstakes.

WHEN DONATING TO A BENEFICIARY THROUGH A SPOTFUND FLASH FUND SWEEPSTAKES YOU WILL BE AWARDED ENTRIES TO THE DRAWING. DONATING DOES NOT INCREASE YOUR ODDS OF WINNING. NO PURCHASE NECESSARY TO ENTER ANY SWEEPSTAKES.

Terms:

Sweepstakes are created and administered by Spotfund Technologies Inc. ("Spotfund") which coordinates with sponsoring organizations individuals and other parties ("Sponsors") to create fundraising campaigns ("Spotfund Stories") that benefit specific organizations ("Beneficiaries") by rewarding entrants with a chance to win experiences goods and/or services ("Prizes").

Who can enter a sweepstakes:

Spotfund sweepstakes are only open to individuals who are at least thirteen (13) years of age at the time of entry and may be restricted to a higher age limit on the sweepstakes page depending on the prize(s) awarded. Commercial enterprises and business entities are not eligible to enter.

Entrants under the age of eighteen (18) years must have the permission of their parent or legal guardian to enter and/or win and will need to have a parent or legal guardian sign any required documents for winner validation.

It is your responsibility to determine if there are specific laws or regulations in your country or state that prohibit you from entering a sweepstakes or claiming a Prize.

Employees of Spotfund the Beneficiary and the Sponsor are not eligible to enter or win.

All entries become the sole and exclusive property of Spotfund and receipt of entries will not be acknowledged or returned.

For purposes of a sweepstakes your residential address and email address will be the physical address and email address at the time of entry. You will not be allowed to change your physical address or email address once provided.

Sweepstakes are void in Belgium Cuba Iran Iraq Italy Myanmar North Korea Singapore Sudan Syria Thailand the Provence of Quebec and any place where offering the sweepstakes or the awarding of a prize is prohibited. A Sweepstakes may have additional residency restrictions which will be listed in the Sweepstakes page.

Agreement to Official Rules:

Entering a sweepstakes means you warrant you are eligible to participate and agree to be bound by these Official Rules and by all applicable laws and decisions of Spotfund which shall be binding and final and you waive any rights to claim ambiguity with respect to these Official Rules. Winning a Prize is contingent upon fulfilling all requirements set forth herein. Any attempted form of participation in this sweepstakes other than in compliance with these Official Rules is void.

When can I enter a sweepstakes:

The pertinent dates relating to a Spotfund sweepstakes are listed in its Spotfund story. This will include the start date and end date for receipt of entries the drawing date and the winner announcement date. Spotfund's web server is the official timekeeping device for sweepstakes. The timezone will be listed on a Sweepstakes page and if no timezone is specified Pacific Time (PT) will be the default.

How to enter:

Participation in the Spotfund sweepstakes may be achieved through multiple entry methods. Specific entry methods applicable to each individual sweepstakes are detailed on the relevant sweepstakes page. Not all entry methods described below will be available for every sweepstakes.

1. Donation Entries: To enter by donation make a contribution to the designated Spotfund Story for the sweepstakes via spotfund.com. Please be advised that standard message and data rates may apply if participating via a mobile device. The entry details and the number of entries granted for donations will be specified on the corresponding sweepstakes page.
2. Referral Entries: To enter by referral refer a donation of the specified amount or greater to the Sweepstakes Story by sharing your unique referral link via social media email or SMS. Standard message and data rates may apply if participating via a mobile device. Entrants must be logged into Spotfund to generate a qualifying referral link or to share directly from the donation confirmation email.
3. Online Form Entry: To enter via online form complete and submit the free online form provided. Participants may submit the form as many times as desired subject to the total entry limit per person as disclosed in the sweepstakes rules.
4. Member Bonus: Membership in the Sponsor's or Beneficiary's membership program will result in the entrant being granted additional entries from the following entry methods: Donation Entries Referral Entries Online Form Entry and Postcard Entry subject to the overall entry limit per person as outlined herein. The sweepstakes page will specify the date when the membership list will be provided and Spotfund will cross-reference the provided emails with all entries from the various methods and apply the doubling accordingly.
5. Recurring Donation Bonus: Opting to make a recurring monthly donation to the Beneficiary via the Spotfund sweepstakes page will result in the entrant being granted additional entries from the following entry methods: Donation Entries Referral Entries Online Form Entry and Postcard Entry subject to the overall entry limit per person as stated in the sweepstakes rules.
6. Postcard Entry: To enter by postcard mail a handwritten postcard to Spotfund postage prepaid at PO Box 1595 New York NY 10028. The postcard must include the entrant's full name street address (P.O. Boxes are not accepted) city state ZIP code phone number email address age and the specific campaign name which is represented by the Spotfund story's "spottag" (e.g. "*SpotfundSweepstakes" or "*WinForCharity"). The postcard must be postmarked by the specified postmark date and received by the designated receipt date. Only postcards will be accepted; envelopes or letters will be disqualified.

Entries will not be acknowledged or returned. No responsibility is assumed for illegible lost late damaged incomplete misdirected or stolen entries. Incomplete illegible incorrectly addressed late lost or misdirected entries will not be accepted acknowledged or returned. Spotfund may have similar sweepstakes at the same time however each sweepstakes is separate. Entry into one sweepstakes is not entry into any other sweepstakes.

The number of Entries granted for donating and for referrals will be listed on the Sweepstakes page. Each successful online form entry is worth 100 entries. Each successful mail-in entry is worth 100 entries. All entrants are limited to the maximum entries per person listed on the sweepstakes page usually 50000 entries total across all entry methods per sweepstakes.

Prizes Approximate Retail Value and Odds of Winning:

All Prizes are described in detail on the Spotfund story for the sweepstakes including the approximate retail value ("ARV") of the Prizes.

The odds of winning the Prizes depends on the number of eligible sweepstakes entries received during the applicable sweepstakes' time period.

Entry Rules and Limitations:

1. Entry Acknowledgment and Responsibility: Entries will not be acknowledged or returned. Spotfund assumes no responsibility for entries that are illegible, lost, late, damaged, incomplete, misdirected, or stolen. Incomplete, illegible, incorrectly addressed, late, lost, or misdirected entries will be deemed invalid and will not be accepted, acknowledged, or returned.
2. Separate Sweepstake Events: Spotfund may conduct multiple sweepstakes concurrently. Each sweepstakes is a distinct event; entry into one sweepstakes does not constitute entry into any other sweepstakes.
3. Entry Value and Limits:
   • Donation and Referral Entries: The number of entries awarded for donations and referrals will be specified on the sweepstakes page.
   • Online Form Entries: Each successful online form entry is valued at 100 entries.
   • Mail-in Entries: Each successful mail-in entry is valued at 100 entries.
   • Overall Entry Limit: Entrants are limited to the maximum number of entries per person as indicated on the sweepstakes page typically 50000 entries in total across all entry methods for the sweepstakes.
4. Prizes Approximate Retail Value and Odds of Winning:
   • Prize Information: Details of all prizes including their approximate retail value ("ARV") are outlined on the Spotfund story for the sweepstakes.
   • Odds of Winning: The odds of winning a prize are contingent upon the total number of eligible entries received during the sweepstakes period.

Selection Notification and Verification of Winners:

1. Selection of Winners: Within five (5) business days following the conclusion of the sweepstakes Spotfund shall conduct a random drawing from among all eligible entries received to select potential winners.
2. Notification of Potential Winners: Spotfund will endeavor to notify each potential winner using the contact information provided at the time of entry via email or telephone (if a phone number was provided).
3. Verification Requirements: To be declared an official winner a potential winner must complete and return within three (3) business days of receipt an affidavit of eligibility liability release tax acknowledgment and where permissible a publicity release. These documents must be signed and returned in accordance with Spotfund's instructions.
4. Confirmation of Winners: Following receipt and acceptance of the required documents Spotfund will notify the confirmed winner using the same method as the initial notification.
5. Failure to Comply: Should a potential winner fail to return the completed documents within the specified timeframe fail to respond to Spotfund's notification within three (3) business days be unable to claim the Prize pose a threat to the Prize Provider or be found ineligible or non-compliant with these Official Rules such potential winner shall be disqualified. The Prize will then be forfeited and awarded to an alternate winner selected through the same process.
6. Alternate Winners: In the event of disqualification or forfeiture Spotfund will select an alternate winner and follow the same verification process and timelines outlined above.

Conditions or restrictions on Prizes:

POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION OF ELIGIBILITY AND COMPLIANCE WITH THESE OFFICIAL RULES AS DETERMINED BY THE SPONSOR AND ADMINISTRATOR IN THEIR SOLE AND ABSOLUTE DISCRETION. ALL DECISIONS BY THE SPONSOR AND ADMINISTRATOR ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.

Conditions and Restrictions on Prizes:

1. Prize Substitution: The Sponsor reserves the right to substitute a Prize of equal or greater value if the original Prize becomes unavailable or due to circumstances beyond its control including force majeure at its sole discretion. Any difference between the actual value of the Prize and its stated approximate retail value (ARV) will not be awarded. Prizes are non-assignable non-transferable and no substitution or exchange of Prizes will be permitted except as expressly authorized by the Sponsor.
2. Prize Terms and Conditions: Certain Prizes may be subject to additional terms and conditions imposed by the Sponsor.
3. Expenses and Responsibilities: All expenses associated with claiming a Prize that are not explicitly included in the Prize description are the sole responsibility of the winner. The Sponsor shall not be liable for any delays in awarding the Prize for any reason. In the event that the Sponsor is unable to award or deliver the Prize after a good-faith attempt the Prize may be forfeited and not re-awarded.
4. Event-Related Conditions: Any meetings with celebrities athletes or public figures are subject to security clearance and other conditions. For Prizes requiring travel or attendance at specific events neither Spotfund nor the Sponsor is responsible for any cancellations delays diversions substitutions or any acts or omissions of third parties affecting the winner's ability to attend the event. Lost or stolen tickets travel vouchers certificates or similar items once in the winner's possession will not be replaced. If a Prize includes an in-person component such as a sporting event celebrity meeting or travel and Spotfund or the Sponsor deems the winner or their guests to be harassing threatening abusive or disruptive Spotfund or the Sponsor reserves the right to terminate the Prize in whole or in part without further compensation.
5. Tax Responsibilities: Prize winners are responsible for all federal state and local taxes associated with the acceptance of a Prize. Winners will be required to complete a Form W-9 to provide their tax information and a Form 1099 will be issued in the amount of the actual retail value of the Prize as required by law. The winner is responsible for payment of any required withholding and taxes related to the acceptance of the Prize.

Release and Indemnification:

1. Release of Liability: By entering into any Spotfund sweepstakes you hereby irrevocably and perpetually release, indemnify, and hold harmless Spotfund, its Sponsors, Beneficiaries, and each of their respective affiliates, officers, directors, owners, employees, and representatives (collectively the "Released Parties") from and against any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, attorney's fees, and liabilities of any nature, whether arising in tort, contract, or otherwise, including but not limited to claims of negligence, damages to persons or property, invasion of privacy (including misappropriation, intrusion, public disclosure of private facts, false light in the public eye, or other legal theories), defamation, slander, libel, violation of the right of publicity, infringement of trademark, copyright, or other intellectual property rights, property damage, or death or personal injury, arising out of or in connection with your entry, creation, or submission of an entry, participation in the sweepstakes, and/or acceptance, use, or misuse of any Prize, including any related travel or activities.
2. Indemnification: You further agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities, including reasonable attorney's fees, arising out of or relating to your participation in the sweepstakes and/or your acceptance, use, or misuse of any Prize, including any associated travel or activities.
3. No Warranty: Without limiting the generality of the foregoing, all aspects of the sweepstakes, including the Prizes, are provided "as is" and without any warranty of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Other Conditions:

Beneficiaries of the Sweepstakes are not necessarily sponsors and may benefit without direct involvement in the Sweepstakes. All product names mentioned are trademarks of their respective owners.

Spotfund is not responsible for any computer telephone satellite cable network electronic or internet hardware or software malfunctions failures connections or availability; or for garbled corrupted or jumbled transmissions service provider internet website or use net accessibility availability or traffic congestion; or for any technical typographical or other errors; unauthorized human intervention; incorrect or inaccurate capture of registration information; or the failure to capture or loss of any such information.

In the event of a dispute regarding entries received from multiple users with the same email account the authorized subscriber of the email account at the time of entry will be deemed the entrant and must comply with these rules. The authorized account subscriber is defined as the natural person assigned the email address by the Internet Service Provider (ISP) online service provider or other organization responsible for assigning email addresses. Potential winners may be required to provide proof of being the authorized account holder. The use of any programmed automated system third-party service or similar methods to participate is prohibited and will result in disqualification.

Spotfund reserves the right to cancel suspend extend and/or modify the Sweepstakes or any part thereof if any fraud technical failures or any other factor beyond Spotfund's reasonable control impairs the integrity or proper functioning of the Sweepstakes as determined by Spotfund in its sole discretion.

If any provision of these Official Rules or any word phrase clause sentence or other portion thereof is held to be unenforceable or invalid for any reason that provision or portion shall be modified or deleted to render the remaining provisions of these Official Rules valid and enforceable. The invalidity or unenforceability of any provision of these Official Rules or the Prize documents will not affect the validity or enforceability of any other provision. No entrant shall have the right to modify or amend these Official Rules. The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision and such provision shall remain in full force and effect. In the event of any conflict between the information contained in these Official Rules and any promotional materials the details of the Sweepstakes as set forth in these Official Rules along with any additional rules or modifications listed within the Spotfund story corresponding to the Sweepstakes shall prevail.

Disputes:

You agree that the laws of the State of New York will govern the Official Rules and any and all disputes and disagreements.

Except where prohibited you agree that:

• (a) any and all disputes claims and causes of action arising out of or connected with the sweepstakes or any Prize awarded shall be resolved individually without resorting to any form of class action and exclusively by the Federal and State courts located in New York New York;
• (b) any and all claims judgments and awards shall be limited to actual out-of-pocket costs incurred including costs associated with entering the sweepstakes but in no event attorney's fees; and
• (c) under no circumstances will you be permitted to obtain awards for and you hereby waive all rights to claim indirect punitive incidental and consequential damages and any other damages other than for actual out-of-pocket expenses and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE MAY NOT APPLY TO YOU.

When you enter a Spotfund sweepstakes we collect some information about you which is subject to Spotfund's Privacy Policy. By entering the sweepstakes you expressly agree to the terms of our Privacy Policy. When entering the sweepstakes you agree to receive promotional emails from Spotfund the Beneficiary and the Sponsor. By accepting a Prize the winner agrees that Spotfund Sponsor and Beneficiary can use their name city and state photograph voice and/or other likeness and Prize information in advertising and trade and promotional materials in any form of media without notice review or approval and without any additional compensation except where prohibited by law.

List of winners:

Spotfund will post the names of the confirmed winner(s) for each Spotfund sweepstakes on the Spotfund story within 14 days of officially verifying and confirming the winner(s). You may also request a winner's list by emailing sweepstakes@spotfund.com within 60 days of the applicable Prize drawing date.
